Announcement of merger by absorption

In compliance with the provisions of Article 10 of Royal Decree-Law 5/2023, of June 28, on structural modifications of commercial companies (RDL 5/2023), it is hereby made public that, on December 31, 2024, the Extraordinary General Shareholders’ Meetings of GEOGRAMA, S.L., and GEOGRAMA GIS, S.L., both with universal character, unanimously approved the merger by absorption of GEOGRAMA GIS, S.L., (Absorbed Company) by GEOGRAMA, S.L., (Absorbing Company), which will acquire by universal succession the assets of the Absorbed Company, which will be extinguished, without any increase of capital stock in the Absorbing Company.

The merger is carried out in accordance with the provisions of Article 53 of RDL 5/2023, since it is a merger by absorption in which the Absorbing Company is the direct holder of all the shares into which the capital stock of the Absorbed Company is divided.

The right of the shareholders and creditors of the respective companies to obtain the full text of the resolutions adopted, of the Merger Plan and of the Merger Balance Sheets is expressly stated.
